Terms of Service

These Terms are written for business and organisational customers. ShareDroid is not sold as a consumer product or as a perpetual software licence.

1. Who we are

ShareDroid is operated under the ShareDroid trading name. You can contact us at support@sharedroid.com.

2. What these Terms cover

These Terms govern access to the ShareDroid hosted service, Android application, management console, documentation, APIs, support, and related services. They apply when you create an account, subscribe, trial, purchase licences, or otherwise use ShareDroid.

3. Business use only

You confirm that you are using ShareDroid for a business, organisation, or professional purpose and that you are authorised to accept these Terms on behalf of that organisation. If you are not authorised, you must not create a tenant or purchase licences.

4. Subscription licence, not ownership

ShareDroid grants you a limited, revocable, non-exclusive, non-transferable subscription licence to access and use the service during your active subscription term. You do not buy or own ShareDroid, the software, source code, trade marks, designs, documentation, or any permanent right to use the service.

Access depends on your subscription remaining active, your payment obligations being met, and your compliance with these Terms.

5. Customer responsibilities

  • You are responsible for your tenant configuration, administrator actions, device policies, MDM setup, Entra ID setup, user notices, lawful basis, and internal approvals.
  • You must only enrol devices, users, badges, faces, credentials, and applications where you have lawful authority to do so.
  • You must keep administrator accounts secure and promptly remove access for leavers.
  • You must test kiosk, app clearing, SSO, facial authentication, offline mode, and emergency access workflows before production rollout.

6. Credentials, biometrics, and device management

ShareDroid includes features for shared-device authentication, managed credentials, app-profile sign-in assistance, device status, app data clearing workflows, and optional facial authentication. These features can involve sensitive personal data. You are responsible for enabling only the features that are lawful and appropriate for your organisation.

You must not use ShareDroid to capture credentials, monitor users, process biometric data, or control devices unless you have an appropriate lawful basis, transparency notices, and internal authorisation.

7. Service changes

We may improve, modify, replace, suspend, or discontinue parts of ShareDroid. We will try to give reasonable notice for material changes where practical, but we may act immediately where needed for security, legal, operational, or abuse-prevention reasons.

8. Suspension and termination

We may suspend or terminate access for non-payment, misuse, security risk, unlawful use, breach of these Terms, customer request, legal requirement, platform abuse, or service discontinuation. Where practical, we will give reasonable notice, but immediate suspension may be required to protect ShareDroid, customers, users, devices, or third-party services.

9. Customer data

You retain ownership of your customer data. ShareDroid may process customer data to provide, secure, support, maintain, and improve the service. Data processing terms are set out in the Data Processing Agreement.

10. Confidentiality

Each party must protect the other's confidential information using reasonable care and must not disclose it except where needed to perform the agreement, comply with law, or obtain professional advice.

11. Availability and support

ShareDroid depends on third-party infrastructure and services including Firebase, Google Cloud, AWS, Microsoft, Android, device manufacturers, network connectivity, and MDM providers. We will use reasonable skill and care, but we do not guarantee uninterrupted or error-free operation.

12. Liability

Nothing in these Terms excludes liability that cannot legally be excluded. Subject to that, ShareDroid is not liable for indirect loss, loss of profit, loss of business, loss of goodwill, loss of anticipated savings, or loss caused by customer configuration, unsupported devices, third-party outages, MDM limitations, Microsoft/AWS/Google changes, or unauthorised administrator actions.

Unless a separate written agreement states otherwise, our total liability for claims relating to the service is limited to the fees paid by you for ShareDroid in the three months before the event giving rise to the claim.

13. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, unless mandatory law requires otherwise.

ShareDroid legal documents are versioned. Keep a copy of the accepted version for your records.
